One Listed Company had its AGM on November 28, 2011. What would be the last day to submit the balance sheet with the ROC.

As per Sec 220 (1) Balance Sheet & Profit and Loss A/c is required to be filed with ROC within 30 days of AGM and Annual Return within 60 days from the date of AGM as per Sec 159 (1).

Dear Deepka, I know the provisions of sec 220 but mine is totally a different case.

One of the listed Company had its AGM on 28.11.2011. The Company had
actually sought extension of FY(2010-11) by three months and as a
result the FY(2010-11) consisted of 15 months i.e., 01.04.2010 to
30.06.2011.

My query is what would be the last date for the filing of Balance
Sheet in XBRL mode with ROC.??

Circular No.69/2011, dated, 30.11.2011, says that the last date for
the filing of BS for FY 2010-11, by the Companies whose BS is as on
31.03.2011 or after 31.03.2011 has been extended upto 31.12.2011 or
within 60 days of their due date of filing, which ever is later.

As per my understanding, in our case, the AGM was held on 28.11.2011
and accordingly the BS should be filed within 30 days fromt the date
of AGM that is by 27.12.2011, however the as per the circular, the BS
should be filed within 60 days of thier due date of filing, so due
date in our case should be 27.02.2012.

Kindly let me if I am correct??

As per circular issued by MCA on  28.07.2011 by Circular No. 57/2011 that  all companies falling in Phase I class of companies are permitted to file their financial statements without any additional fee upto 30.11.2011 or within 60 days of their due date, whichever is later.

 

 

On, Circular No. 69/2011, a modification has been made in Circular No. 57/2011. As per Circular No. 69, the last date for filingfinancial statement in XBRL mode without any additional fee has been extended  up to 31.12.2011 or within 60 days of their due date, whichever is later.

 

As per the above circular, your last date of filing will be:

 

 

Date of AGM                                                                             28.11.2011

 

Filing Date up to (within 30 days of AGM)                                 27.12.2011

 

As per Circular No. 69/2011                                                      31.12.2011

 

60 days from due date (Due date is 30 days from AGM)

i.e. 60 days from 27.12.2011                                                     24.02.2012

 

 

In that case your last date of filing of your financial statement in XBRL mode is 24.02.2012 is per Circular No. 69/2011.

As per my view your companies due date of filing in 24.02.2012, 60 days from due date (27.12.2011) of filing.
