hello!
Can anyone please tell me that whether Form-25C ( Particulars of appointment of M.D./Whole timw Director/Manager ) is required to be filed with ROC where an existing Director is being appointed as Whole time director if the company?
Won't it tantamount to change in designation of director and hence filing of F-32 would be sufficient for it?

Please note that the provisions of Section 269 is not applicable to a private limited company. Even Form 23 is not required to be filed since the provisions of Section 192 is not attracted for appointment of whole time director of a private limited company. If your company is a private limited it is enough if you file Form 32 alone with ROC.
However if your company is a public limited company, then you need to file Form 32, Form 23 and Fom 25C in respect of appointment or re-appointment of whole time directors.
