member is a broad term which includes preference shareholders and holders of sweet equity other than equity shareholders.
while shareholders are equity shareholders who have vpting rights.

member is a person whose name is mentioned under the register of the company as a member . ( who may or may not holds shares )
share holders is a person who holds the shares , he can be a member if his name is mentioned under the register of the company .
