Esop

Just by passing of Resolution in Board you can incorporate ESOP committee.

Thanks.. But could you also confirm if the following steps are correct - 

1. Approval for formation of ESOP Committee in the Board meeting

2. Meeting of the ESOP Committee for approval of the ESOP Policy of the company 

3. Board meeting for convening EGM for passing special resolution for issue of options

Or does the EGM have to be held even before the ESOP Committee is formed
