Due date for filing 20b for sgm

A Public Limited Company is formed on 18th March, 2011

What is the due date for holding Statutory Meeting and what is the due date for filing Annual Return (Form 20B) for the said company..

Sec. 165 requires to hold statutory meeting within not less than one month and not more than 6 months from the date at which the company is entitled to commence business (receipt of COB) .

Question of annual return comes only after holding AGM in your case it will be First Agm, section 166 read with section 210 says it must be within 18 months from the date of incorporation or within 9 months from the end of the financial year whichever is earlier.

I agree with Mr. Parasar, your annual return will now depend on the your financial year.

thanx Parashar bt now please tell me would the company be required to file any form for SGM after holding it..

Form 22 is required to be filed with the concerned ROC after holding of SGM whereby the company will have to submit the StatutorY report with the ROC.

The due adte for filing Form 22 is within 6 months of incorporation of comapny. As i am unaware of date of incorporation. As you mentioned the company had been formed on March 18, 2011, we assume as date of incorporation. So due date will be September 17, 2011. You can file even now along with the additional fees.
