How can a Private limited company start paying out director sitting fees ,what are the compliance's to be followed?

Call Board meeting and decide amount of sitting fees to be paid.
The amount of sitting fees should be within the prescribed limit.
Do we need to pass an ordinary resolution ?
If the Board is to decide only Board Resolution is required to be passed.
