My Company wants to change the designation of an Independent Non-Executive Director to "Professional director"....besides filing form 32, what all formalities need to be done...whether any resolution has to be passed...

You should pass a Board Resolution for change the designation of Director and the the details of such director will be given in Directors Repot as and when it is made.
Before you appointing him as professional director, you should have a such qialification certificate which can justify you about his profession degree.
