Need clarity on Managing director or whole time director appointment. - Section 196 saying fo appointment of MD or WTD and section 203 saying for appointment of key managerial personnel in which MD or WTD includes. - means two MD/WTD require to appoint?

you have to follow that section which is more strict

and for CFO CEO and CS follow sec 203
