leave of absence means leave informed to board in advance. absent mean it is without information

In a simple language, if it seems for a director that he or she will be be able to attend the board meeting for some reasons, he or she will give prior intimation to the board of directors or other authorised person about the same and board of director in their meeting took a note of the same and grants such director, a leave of absence.

Absent could mean that, a director has taken a leave without prior intimation.

Well, as per the reading of section 167 of the Companies Act, 2013, a director need to attnd at least one board meeting during the period of twelve months.

hope it resolves your query.

Thank You.
