For deciding date of AGM we have to look at both Sec 166 and Sec 210(3). The final decision will be date as per sec 166 or date as per sec 210(3) whichever is earlier.

In your case

• Date of AGM as per Sec. 166 is 27.08.2009
• Date of AGM as per Sec. 210(3) is 31.12.2009

Earlier of the above two is 27.08.2009. Therefore the date of first AGM is 27.08.2009 and there will not be violation of any sections.

My Opinion:

I would like to disagree with Ankur Sir's Reply on the above mentioned subject. Incorporation Date being 28th Feb,2008, assuming 31st March 2009 as closure of accounts, within 18 Months would mean 30th August 2009 (28 Feb- 27 March amounts to only 28 days and cannot be considered a month as a whole.)

Logically, if Incorporation date was 1st March 2008, then first AGM due date would be 31st August, 2009. Therefore, heresay, one day lesser would mean 30th August, 2009 being the due date.

Note: Kindly provide a closure to Replies, will be very useful for all future readings.

Company can conduct 2 AGM on same Day with different times but Company has to make petition with CLB for condonation of delay in conduction annual general meetings.

Can company do annual filing for 2015 before doing filing for 2014 as forms are not available on the MCA site for the same.
