Anybody please tell if in a Public Unlisted Company, the remuneration of a whole time director is being reduced, what are the compliances to be followed with.?

Hello,

As per my views i think in this case sec 268 of companies act would be applicable, rest you can also refer the articles of the company.

point.no.1 in a public comp, the whole time dir. may be apointed, 1) with cent.govt aproval or 2) under schedule xiii. U didnt mentioned the way in which he was actualy apointed. point.no.2 wt is the paid up cap. of company. Point.no.3 the case u said is reducing the remuneration. but not the case of increasing it. so, almost nothing to comply aditionally. (under the Act) and hardly there may be procedural compliances. --S @ T#06 @ M--
