29 December 2012Our Company is incorporated on 06.01.2012 and we want to file first annual returns with ROC. When should we close our accounts and conduct first AGM and when should we file first ROC Returns. Please reply me. Thanks in advance

As per Companies Act, 1956 you can hold first AGM within 18 months from the Date of Incorporation. In this case it will be 5th July, 2013. Annual accounts is to be filed within 30days from the date of AGM and Annual Return is filed within 60 days from the date of AGM.
Regarding closure of books of accounts, it depends on the subject Company. It can either close its accounts either on 31.03.2012 or on 31.03.2013.

But further i suggust you to close it on 31.03.2012 and Upto 31 Dec show date of AGM and file 20B and 23AC and ACA accordingly.

Shall we close the company's accout on 31.03.2012 if it is incorporated on 15.02.2012?
Is there any minimum period to close account?
