death of a director

In a Private Company there are 2 directors both are shateholders also, one is died but how to call Egm without quorum, and pl also specify procedure for transmission of shares if succession certificate is not available or its difficult?

in this case 1 director can pass resolution only for appointment of min directors i. e. 2 & without succession certificate shares can be transmitted to nominee by representing will or name of the nominee in share certificate

but how to conduct Eogm without quorum and for new director we have to take din and file form dir 12 but it will take time for documentaion therefore some period directors no will be less then 2, from which date we should appoint director after death for example director's death date is 25 december now we will take din on 10 jan then date of appointment can be after 10 jan.
