Can Anyone Tell me Answers of Two Questions,That-

1) When the Company Should appoint a CS (Company Secretary)....? &

2) Who Appoint CS ?(The First CS as well as Subsequent CS for any Companies)

Asnwer 1- As per section 383A of companies act, if the paid up capital of the company is morethan or equal to 5 crores then it is mandatory to appoint a Company Secretary by the company.

 

Answer 2- A company (BOD) appoint both first and subsequent CS.

 

Dear first CS is appointed by the BOD director only...as per my knowledge....

Anjali Negi has answered correctly.

 

As per Sec 383A of Companies Act; 1956 the companies having paid up capital of Rs. 5 crore or more shall appoint Whole-time Company Secretary.

 

First and Subsequent CS will be appointed by Board of Directors.
