Besan ltd issue a notice for nine business to be transacted in AGM(2business for for appointment of directors).The chairman decided to move the resoulution for all the nine business together to save the time of members present Examine the validity of the Resolution???

Hi Rohit,

Section 162 of the Companies Act 2013 prohibits placing a single resolution before the members for the appointment of two or more directors. There needs to be a separate resolution for the election of each individual standing for directorship. 

Since Besan Ltd is a public company and it has moved a single resolution for appointment of both the directors in a general meeting before the members, both the appointments shall be void due to application of Section 162 of the act.
