Sebi act looks huge but its simple.
Steps:
best way to crack a big chapter is to divide it into short managable topics and eliminate the common points.
1) Take a note book first note down all the Issues / Headings
2) Then write down conditions for each issues. Only first 3 conditions for each issue. you will understand the object for preferential issue, bonus issue etc.
3) Then take remaining conditions for each issue. You will understand why this issue is made, ask yourself questions like what is red hearring prospectus? what is the purpose of issuing sweet equity shares? why these are given only to promoters or directors and why not to normal members.
By this time you will gain a lot of interest in this chapter.
4) Then revise each issue with the conditions. write down conditions in short form, for example there is condition for change in name, write it as, "min. 50% addl. pft if name change.", sh. cap, 5 cr, "Prmotr lock in 3 yrs"
Best Rule : Make it compressed and fit it into your brain with a logic, you will never forget. (Applicable to any subject for any course)
Conclusion:
Just understand the logic behind each issue and you will understand conditions automatically. No need to memorise conditions, when you understand the purpose of the issue of shares, you will automatically understand why it is made.
