Can any one tell me in detail about the concept of interested & uninterested directors in AGM/EGM?????????
I think voting power is vested in Mmbers at AGM/EGM so this concept is unused but if i think about the situation in which interested director is also the chairman of AGM/EGM i got confused. There are any leal provisons in this regard?????????

Interested director stands for any director who is interested in the business which is going to be discussed.
And Sec 299 and 300 is curtailed to only BM. they doesnt apply on GM. So a interested director can participate in GM as in the capacity of a member.
Rest Sec 175 deals with the provision of Chairman. And that can be any one of the members which are present in the GM. A poll can be conduct for the election of Chairman.
