Complaint under Companies Act

Dear Members,

A person is appointed as Whole time director of a public ltd company under Sch XIII with effect from Feb 2009. Application u/s 269 of Companies Act for approval of Cent. Govt. is made now only.  A section of employees feel that the director concerned is not a fit person and wish to approach the Central Govt. for making a complaint. What is the procedure for making a complaint to the Govt. Can the delay in getting approval itself be stated as one of the reasons for mis management of affairs of the company? Please provide me details.

Employess can not make the Complain, Only Shareholders can make the Complain.

Moreover, Above case also doesnt come under the purview of Mis management.


Advise:  Board has appointed that person keeping in Mind his capabilities and skills, About which Employees are not aware. So, First ask the Board for which reason the Person is appointed.
