We have registered XYZ TECH PVT LTD and the company is active. We haven't paid auditing filing etc fees to ROC/MCA (sorry if I am not making complete sense here) and our CA is telling that with penalties it is coming to 6-7 lakhs.

We wanted to register XYZ AI PVT LTD, but our CA is again telling that it will not be approved since the name is similar.

I think that if we get an NOC from XYZ Tech Pvt Ltd though it is not current with dues, we can apply for XYZ AI Pvt Ltd.

Can someone advise?

Can You clear whether you are talking about AOC 4 /MGT 7 OR ADT forms ? Individual audit report is annexed with Financial Statements and filed within 30 days of AGM ,if delayed happens then company has to pay penalty as per the details mentioned in relevant section and fees rules ,

for incorporation of a company with a name similar to an existing company ,you have to get a Board Approved NOC from an existing company ,while filing either Spice Plus Part A or A+B....
