Company Converts Pvt Ltd to Limited procedures to befollowed

If company changes from pvt ltd to limited, then do we need to change employment letters, contract letters of all employees? Or What changes we need to do apart from statutory related changes i.e. PF, income tax, PF - intimation to all?

Absolutely, You are required to intimate all the authorities about the change of name of the company consequent upon conversion into public limited company. You can also enclose the fresh certificate of incorporation issued by the Registrar of Companies upon conversion into public limited company with the intimation letters. As far as the employment letters and contract letters are concerned they are not required to be changed. Other views solicited.    

Documents to be attached with the application are:-

·        Notice of extra-ordinary general meeting.

·        Minutes of extra-ordinary general meeting.

·        Copy of special resolution.

·        Copy of newspaper advertisement.

·        Affidavit that the company is not listed on any stock exchange.

·        Reference number, date of passing and date of filing the e-Form 23.

·        Payment of requisite application fee.

·        One copies each of the annual reports for the last three financial years.

·        Copy of the last annual return.

·        Altered Memorandum and Articles of Association.

·        No objection letters from major unsecured and all secured creditors

·        Reasons for conversion.

·        Terms of appointment of all managerial personnel.

·        Power of attorney in favor of the authorized representative.

the company need to fill e-23 form .

No company not need to change the contract with the old emplyee and with old contract all those contract are valid but the new contract will be in the new name of comapany

But the  we will have to  intimate the other govt. authorities and revenue authorities like PF income tax and other department by providing the resolution passedin the general meeting
