What is the procedure if one has follow under the Companies Act for changing the name of the shareholder if the concerned shareholder is a company the company in which shares are held is a private company. if possible please tell me about the required documentations, filing if any required with the RoC etc.....

It is enough if he files the gazatte notification announcing the change.
Dear Prashant,
The revised certificate of incorporation will do for your purpose.
In case of Individual the gazatte notification is required.
