For changing designation of MD to Director, Kindly note the following points:-

1. No shareholders approval is required. It is the discretion of the board to change the designation of the directors.

2. File DIR-12 along with true extract of board resolution within 30 days of board meeting.

3. File MGT-14 (only required) if MD is appointed or removed as KMP. (Refer- Rule 8 of Cos. (Meetings of Board & its Powers) Rules, 2014.
