Change of owner ship in proprietor firm

it should be sold by court sale deed on payment of stamp duty to the buyer, and with the sale deed instrument he will get title changed in his name.

visit  any  lawyer, its  transfer of  property, and  would  be  excecuted  under  the  respective  state's  stamp  duty  regulations 

however  in  case of  relations (as  defined  under  gift  tax of  income tax),  the  owner  can make a gift  deed  under  consultation  with lawyer,  stating  his  capital involment in the  proprietorship firm
