Change of name of company

In following cases change of name is not allowed if company has defaulted in 

Filling Annual return or Financial statement
Documents due for filling with ROC
Repayment of due deposit or debenture or Interest thereon

Procedure to change name are as follows: 

File E-Form INC 1 to ROC
Board meeting to decide date day and time for hold GM
Pass Special Resolution at GM
Apply to CG and get it's approval
File approval of CG with ROC
Name will be effective when ROC issues fresh certificate of incorporation in new name.

or same time when we file mgt-14

First we have to file inc-1 after approval We should new moa and aoa with new name and required resolutions by mgt-14 and letter from creditors and banks loans if any noc shall be submitted by form inc 24
