Chairman of board

At a Board of Directors meeting whoever chair the meeting is called chairman,

He is responsible for conduct of the meeting and minutes of the meeting will be done by the company secretary or the managing director.

No special powers for since he is also having voting right .

can be any director or  by rotation  or normally power centred director or major % share holder will become the chairman

A resolution while appointing the the director shall also specify that he is been appointed as Chairman DIR 12 filed for the director in the category shell mention the Chairman. Then that director will be German of all the board meetings in case the director is not appointed as chairman then for each and every meeting Chairman will be appointed separately.

At the first Board meeting the directors prsent appoints the Chaiman of that meeting and generally he will be also appointed as the Chairman for all the Board meetings.Obviouly the appointment is done by passing of the Resolution.In case of the Chairman so appointed is not able to attend the Board meeting due to whatever reason,the Directors present at that Board meeting will appoint chaiman among them only for that meeting.
