Can a compnay be run on single director??

Hi i am prabhu,


I want to know tht wether a Pvt. Ltd. company in India can be run by a single Director.


I know that for Pvt. Ltd company , no. of minimum directors is 2. Is it true.


What is DIN no., Does all the directors must compulsarily need to have this.


What are additional director. How are  they appointed.

Hi,

DIN means Director i dentification No.DIN is compulsory to Act as an Director As per Sec.253 of Companies Amendment Act 2006.

Minimum no. of directors for a private limited company is 2.  Hence it can not be run with a single director.  If done so, it is violation of law.

Yes only for limited purpose . i.e to increase no of director to bring them at min. 2

A private limited company is required to have at least 2 directors if  number  of directors falls below this number it is voilation of law  board may appoint additional director to make it 2 directors on the board .

Additional dierectors are appointed by board who hold office till the date of AGM their appointment will be regularised in AGM i.e shareholders gives their approval by passing the ordianary resolution .

All the directors should have DIN .

ALL DIRECTORS SHOULD HAVE DIN NO. WHETHER THEY ARE PVT. LTD. CO. OR PUBLIC LTD.

ACC. TO SEC. 253 OF COMPANIES ACT, 1956, THE MIN. NO. OF DIRECTORS IS 2.

A PERSON CAN BE APPOINTED AS A ADDITIONAL DIRECTOR.

voilation of law means what ? i want to know the consequence...please refer section/case law if any
