Yes it is compulsory to call Board Meeting and pass resolution to make calls on shares. Section 292 has given certain powers which are to be exercised only at BOARD MEETING.

AS PER THE COMPANIES ACT 1956,
THE BOARD OF DIRECTORS ARE HAVING THE AUTHORITY TO CALL PARTLY PAID UP SHARES ,SUCH AN AUTHORITY CANNOT BE DELEGATED TO ANY OTHER PERSON.

Yes, Demanding the CAll money is a decision to be taken by the BOD, in their meeting, ehich requires the board resolution to be passed.
