Hello All,

I am a BOD of a pvt ltd (software firm). It has two BOD, me and Mr.X.

It grew from 3 to 40 in three years. The company is 3 and half years old.It is supposedly doing pretty well...

I wish to resign from this firm due to some personal problems(nothing related to the firm).

Mr.X is willing to accept my resignation but unconditionally. I.e, i will not get any benefit out of it(if any). Mr.X is not ready to share any single detail of the accounts too.

I feel terrible cheated. My profile & my credentials were used to bring up the firm...

I really dont know what to do?

Try to resolve all the issues yourselves in repect of resignation, terms and conditions on exit,

It not possible consult your company secrerary, auditor, legal officer and ultimately your compnay staff,  they will help in compnay financials and accounts since U have every right to know the affairs of the company.

There are lot of formalities to be done due to obligations of Companies Act about directors appointment, cessation, filing of annual reports etc.

It is advisible to consult your legal experts and auditors for better solution.
