Board resolution format for increase of sitting fees

INCREASE IN REMUNERATION OF THE BOARD OF DIRECTORS’ MEETING

“RESOLVED THAT pursuant to article..... of the Article of Association of the Company and section 310 of the Companies Act, 1956 read with Rule 10B of the General Rules & Forms, the sitting fees payable to the directors be and is hereby increased from Rs. 5000/-(Rupees Five Thousand) to Rs. 15000/-(Rupees Fifteen Thousand) with effect from 26^th June, 20.... for every meeting of the Board of Directors attended by them.

RESOLVED FURTHER THAT the above resolution may be forwarded to the Board for its approval and the Board of Directors of the Company be and is authorised to do all such acts, deeds, matters and things as may be considered necessary, desirable or expedient for the purpose of giving effect to this resolution.”
