1.I would like to know the applicable sections in case of a private limited company for increasing remuneration to a director. Here, in this board resolution, I have mentioned only Sec2(78) and 2(94). What other sections apply?
“RESOLVED THAT pursuant to the provisions of Sections 2(78), 2(94) and other applicable provisions, if any, of the Companies Act, 2013, the approval of the Company be and is hereby accorded for the remuneration to be paid and perquisites to be provided to Ms./Mr. __________ (DIN:________) as under:

2.Is there a need to mention Sch V in the resolution, since this is a private limited company?

3.Suppose increase in remuneration is considered for more than one director simultaneously and remuneration amounts are same for all, will one resolution do for all like this :
“RESOLVED THAT pursuant to the provisions of Sections 2(78), 2(94) and other applicable provisions, if any, of the Companies Act, 2013, the approval of the Company be and is hereby accorded for the remuneration to be paid and perquisites to be provided to Ms./Mr. __________ (DIN:________), to Ms./Mr. __________ (DIN:________) and to Ms./Mr. __________ (DIN:________), as under:

4. Can the resolution have retospective effect, as is contemplated in the case of one of the dirctors?
