1)a company incorporated on 10th august 2017 , then whether ADT-1 is required to be filed for the first auditors appointment.

 

2)whether we can conduct the agm and appoint first auditor for 5 year term .

ADT-1 is required to be filed for the first auditors appointment. within 15 day s of meeting in which he appointed

Dear Prerna Prakash,

As per the provision of section 139(6) the first auditor of company (except government company) is to be appointed by board within 30 days of incorporation. Such auditor will hold the office till the conclusion of 1st AGM.

As per the understanding of the above mentioned provision we can conclude that

1.  ADT 1 is not required to file with ROC in case of appointment of first auditor.

2. Yes , you can appoint the subsequent auditor for consective five years in the first AGM subject to retification in every AGM and you are also required to file ADT 1 with ROC within 15 days of appointment.

ADT-1 is not to be filed on the appointment of 1st auditor. Plus you are not required to conduct AGM in year 2107...as 1st AGM is to be held within 9 months from the closing of 1st FY, in this case that will be 31st march 2018.

So you are required to appoint 1st auditor till 9th sept and 1st auditor at 1st AGM in year 2018

Hello There! Please let me know how to appoint a first audtior for an OPC company with one director only and there is no board of directors' meeting to assign an auditor. Thanks.
