Appointment of md

Hello suggest me.. if in company one person holding whole time Director and board decided to change his designation to Managing Director. on that they passed Board meeting on 2 March 2016 and on the same day they hold EOGm and passed the resolution.. is this complied as per my knwled prior 21 days notice for EOGm and before Notice Board meeting .. so suggest me
