The Definition of MD includes, interalia, a person who is occupying the position of a MD even though not formally apointed and all the provisions of the ACT shall apply.
You cannot pass a resolution for appointing retrospectively. but if he is exercising the duties and powers of MD, he shall be deemed to be a MD.
