Appointment of managing and whole director

Dear Freinds,

Our Co.Pvt ltd company wants to appoint Managing Director and Whole Time Director .My QUESTION IS :

1. Can we appoint MD without remuneration as per co.Act 2013

2. As the directors are existing can we imply this as change in designation of Director .

Kindly let me know the Procedure(formats if any) for appointment and if the said is change in designation what is the procedure.
