But in that companies Managing Directors should not be there or appointed later unless manager vacate his/her office.

Sumit it's written about MD. Refer section 203(3) it is written that a whole time KMP shall not hold office in more than one company except in it's subsidiary. And manager is a KMP so I think he can be manager in subsidiary co
