Appointment of director in pvt ltd

Yes You Can Appoint more than one director by a single resolution, by drafting the resolution as per the requirements. But u must check whether both are being designated in the same capacity.
No there is no mandotary requiremnet to attach resolution to form-32 but it is a good secretarial practise if u attach it.

Private limited company incorporated in 24th April 2010 authorized capital of Rs. 50,00,000/- ( 5,00,000 lakh shares @ Rs.10/- each) with three directors , each director subscribed  Rs 1,00,000/- (10,000  shares)each as paid up, out of three director two directors to be resigned and 2 more  directors to be admitted

required resolution and if need amendment  in articles of association whether can conduct EGM and appoint two directors and next day resignation the two directors etc kindly help me out

Can a director be appointed in a private Company by board resolution without appointing him as an additional director first? 

we have two directors in a pvt company and both want to resign. so if we appoint two new directors both will be additional directors upto AGM date, hence we want to appoint the new directors without appointing them as additional director first. Plz advise. its urgent!
