How can a private company appointed as a Director in another Company(Pvt.)?

please guide me ?? What formalities should be done regarding this situation in both company???

Company Cant be a director of a Company

253. ONLY INDIVIDUALS TO BE DIRECTORS.

No body corporate, association or firm shall be appointed director of a company, and only an individual shall be so

appointed.

1[Provided that no company shall appoint or re-appoint any individual as director of the company unless he has been

allotted a Director Identification Number under section 266B.]

If it is a individual then in a Simple way...

1)Get a consent letter from him

2) Pass a Board Resolution

3) File F-32 as additional Director

4) Change hime to Director u/s 260 in the AGM

5) Intimating to the other Company is mandatory for Public Ltd but optional for PVt.
