Our company is Pvt limited Company. and our share capital is 1,00,000/-, we have appointed CEO in our Company and we are paying them 200000/- rs Per months. and he is not director in company . he is only playing role as CEO.
so my question is :
1.Is there any section of companies act 198,269 & 309 and any other procision of Companies Act. ?
2.if any other provision is not applicable only Board resolution is enough ?
Presuming that your CEO is not a member of board, Nothing is required regarding ROC filing.
However the same payment is covered by section 217(2A) so mention the same in your directors' report after analysing the section above.

Hello friends,
Mine is a DSE listed Co doing nominal Compliances. The problem is that my Company has not appointed CEO nor CFO under Clause 49 of Listing Agreement. Since its paid up capital is less than 5 Crores, there is no MD or WTD also. Company is mentioning in it Annual Report that it has obtained Certification from CFO and decleration of compliance of Code of Conduct has also been obtained from CEO. But in actual there is no CEO & CFo. What should I do to correct this.Can CEO be appointed from back date. If yes, how can I do so . Also, can anyone be appted as CEO or he has to be manager or MD only.Pl treat it as very urgent.
