Appointment of any Authorised Person

Hi.... Friends I just wanted to know that "A company say ABC Ltd wants to appoint Mr X as an Authorised person for Vat registration, so that Mr. X could go for Photo sign in front of Sales tax Officer. So in order to appoint Mr.X  Company should simply Pass an Ordinary Board Resolution or the Company should give and Power of Attorney in the Name of Mr.X or What?
