send notice of BM

call bm, present appointing DR documents and get him appointed as an additional Director by passing BOard resolution.

also present resigned director resignation and board will take note of the same.

After that file form DIR 12 on mca portal for both the Director.

regularise appointed director in ensuing AGM.
