Please clarify on mentioned query:
A Company has two Directors and want to appoint a new Director replacing one existing Director.
Whether the following procedure can be followed:
1. Hold Board Meeting to consider the matter and to approve notice of EGM.
2. Hold EGM and pass resolution for both Resignation of existing Director and Appointment of a person as regular Director.
3. File Form 32 within 30 days of EGM for both Resignation and Appointment.
What will be the effective date of resignation and appointment?
