Before holding AGM or on the last date of AGM board should appoint him/her as WTD and pass resolution in GM by complying schedule V and other qualifications.

Central Government approval required if appointment is not in accordance with the schedule V
File prescribed form with roc.

Note: He should not be an WTD in any other companies..
