Alteration of aoa for dematerialization of shares

Dear All,

 

My company is an Unlisted Public Company, we are in a  Process of converting  shares in a Demat mode.

My question is we have not adopted new AOA as per the Companies Act, 2013 and there is no clause in our AOA for dematerialisation of equity shares. Do we need to amend our AOA or adopt new AOA as per 2013 Act?

As the demat shares has become mandatory for the unlisted public  limited Companies vide notification dated October, 2018 ,so there is no need to amend the articles of the Companies particulary for demateralization.

as such there is no any need to make alterations in Aoa for dematerialisation of shares
