Allotment of shares

A private Company has 2 shareholders who are also the Directors. they have given some loan to the company. Now They want to convert unsecured loan given by them into Equity share capital.

Also one shareholder wants to purchase some shares for additional cash to be brought by him.

please provide a speciment Board Resolution considering both the points.
