ADT -1

Company register in Feb 2020 have the due date of AGM be 30th September, 2021. ADT 1 needs to file with in 15 days of AGM held without late fees.

I am asking for first auditor. Pls check and confirm again.

Where it is written first auditor, you were asking about ADT 1, first auditor of a company, other than a Government company, shall be appointed by the Board of Directors within 30 days from the date of registration of the company and in the case of failure of the Board to appoint such auditor, it shall inform the members of the company, who shall within 90 days at an extraordinary general meeting appoint such auditor and such auditor shall hold office till the conclusion of the first annual general meeting.no ADT 1 is filed for first Auditor.

Form ADT- 1 is used by a company to intimate the registrar of companies about the appointment of an auditor after the completion of its annual general meeting (AGM).

Sec 139 (1) of the new Companies Act 2013 mandates this and this form has to be filed every year after the AGM in which the auditor was appointed.

First Auditor is appointed by board and remain till conclusion of First AGM thus no form required to file for their appointment

Form ADT-1 filing requirement in case of Appointment of First Auditor: 

With in 15 days of General Meeting the shareholders of the Company (including the date of Meeting.).
