Adoption of moa & aoa as per 2013
If any company registered as per Companies Act,1956 and want to adopt MOA and AOA as per companies act,2013 whether the provisions of MOA and AOA will be applicable to company from passing of resolution in EGM? What will be the procedure and if the forms are not filled within 30 days what will be the result?

If form are not filed with ROC with in 30 days then you can file upto 300 with additional fees.
Once your 300 days will expire you have to go for compounding of the same.
Yes New Aoa & MOA will be effective form the date of approval fomr MCA

Except MGT-14 for special resolution passed in EGM, whether we have to file any other form with ROC for adoption of MOA and AOA as per Co's Act,2013?
and whether any change can be made in AOA while adopting under Companies Act,2013?
