Dear member I want to know that whether the board can discuss the new matter in the adjourned meetin or can only discuss the original on.

Only original matters that left to be discussed in original meeting

since adjourned meeting is just a continuation of original meeting

 

yes you can discuss but you have to inform first to directors and shareholders  about adjourned meeting by formal

letter and in that letter you can add additional agenda of board meeting.

 

 

As per my understanding yes it is very much possible especially when you are not talking about something like Navratna companies or Fortune 500 companies.

 

I mean practically speaking with the consent of board of directors this is very much possible. For any general or basic business you can always use the following item of your board meeting agenda:

 

“Any other business with the permission of chair”.

 

However if the agenda is specific and important like infusion of new funds via PE or acquisition of business then it is very much advisable to not to club it with an old agenda and separate meeting should be called.

 

Rest (keeping in view the corporate practicality) the answer of your question is entirely dependent on the mutual understanding of your board of directors.

An adjourned meeting is merely the continuation of the original meeting and therefore, a fresh notice is not necessary, if the time, date and place for holding the adjourned meeting are decided and declared at the time of adjourning it. If a meeting is adjourned without stipulation as to when it will be continued, fresh notice of the adjourned meeting must be given.

 

Only the business not finished at the original meeting can be transacted at the adjourned meeting.

As the agenda of the meeting is already decided and circulated to the members of Board. In case of adjournment of Board Meeting as such it is only continuation of the meeting no addition of the agenda item is to be taken. However, in every agenda there is a point ANY OTHER MATTER wherein any matter can be taken as per the consent of Board.

yes agree it depends on agnda if it provides for taking any item with the permission of chair then it is possible otherwise not.
