Additional Directors in Private Limited Company

For change of designation in ROC records you have to file form 32 for regularisation. If possible put this regularisation agenda in your AGM already hold and file form 32 with late fee.

As you did not regulatised them in AGM the directors have already been ceased to be  the director as their tenure has expired on the date of AGM.

Further, you have to file form 32 in both of the cases if you get them regularised or not get them regularised. Because in both of the cases there is change in the directorship.

A private limited company had issued notice for conducting AGM at shorter notice of two days. After dispatching the notice and befor the AGM, the board had appointed an additional director. The director needs to be regularised at the fothcoming AGM but the notice had not included for regularisation in the agenda. The copy of notice had been filed with ROC along with form 23AC. Can company consider for regularisation in AGM without including in Agenda/notice or is there any requirement to issue the revised or addendum to the notice and file the same with ROC along with form 20B as the same is pending for filing.
