Additional Directors

Hi!

As per Section 255 the directors of a public company or of a private company which is a subsidiary of a public company are to be appointed by the company in General Meeting.

General Meeting doesn't mean AGM alone. EGM is also a general meeting. Hence an additional director appointed by the Board can be regularised by holding an EGM.

No case law is required to support this. The section itself is very clear.
