Send Him Legal Notice, Approved By Board and Reason or Justification for such notice including evidence in support and Call him to produce before Board/ Attorney Holder, and Demand back money within stipulated time ( Like 2-3 days) Through Registered post, courier or email, If not received any reply from him, then call board meeting to remove director due to disciplinary action before expiry of his term (subject to approval at ensuing AGM/EGM(14 days special notice is required) And As Per AOA) ,Communicate with ROC And Inform To Stock Exchange ( As Per Reg.30) ,then File FIR/Complaint to Megistrate with all relevant documents/evidence.....

The company has defaulted in providing services.
The company has moved out from its liason office .
The director is absconding.
A case can be registered against IPC .
It's a non bail able offence.
First a legal notice cannot be send to a person whose principal place of business is closed many a times.

What I understood by heading and your query is that, Director is absconded by bungling funds of company by rs. 1.9 Lacs !
